Terms of Use

1. Scope

These Terms of Use govern the contractual relationship between LegalCodeHelp and the clients of our IT legal services and consulting. They apply to all offered services, including Software-as-a-Service (SaaS) solutions, legal document templates, consulting services, and supplementary services. By registering for our services or purchasing a subscription, you agree to these terms.

2. Service Description and Contract Formation

LegalCodeHelp offers specialized IT legal services and consulting that enable technology companies to navigate legal complexities, protect intellectual property, ensure regulatory compliance, and make informed legal decisions. Registration can be done via our website, email, or phone. The contract is formed upon confirmation by LegalCodeHelp. The exact service features, functionality scope, and access rights are detailed in the respective product description or individual offer.

3. Service Description

Our services include IT legal consulting, regulatory compliance tools, legal document templates, intellectual property protection strategies, data protection assessments, and supplementary consulting services. The nature, scope, and duration of each service are described in detail in the current product documentation or in the respective contract. LegalCodeHelp reserves the right to update, improve, or modify features, provided this does not impair the fundamental nature of the service. Clients will be informed in advance of any significant changes.

4. Payment Terms

The usage fees for our services are billed in advance, either monthly or annually, depending on the contract model. The payment terms are determined at the time of contract conclusion. Payment can be made by credit card, electronic bank transfer, or in special cases by invoice. Any change in prices for existing contracts will be announced at least 30 days in advance. In case of payment default, we reserve the right to restrict or block access to our services until all outstanding payments are settled.

5. Refund Policy

LegalCodeHelp is committed to client satisfaction with the following refund policies:

  • For monthly subscriptions: No prorated refund for partially used months. The cancellation will take effect at the end of the current billing period.
  • For annual subscriptions: If cancelled within the first 30 days after contract conclusion, a full refund will be provided. For cancellations after this period, a prorated refund will be issued for unused full months, minus a processing fee of CHF 150.
  • Custom Enterprise solutions: The refund conditions are specified in the individual contract.
  • In case of serious and demonstrable deficiencies in the service: Appropriate refund after reviewing the individual case, provided the deficiencies cannot be remedied within a reasonable timeframe.

All refund requests must be submitted in writing to [email protected]. If LegalCodeHelp discontinues a service for any reason, clients will receive a prorated refund for the unused, already paid periods.

6. Data Ownership and Licensing

All data entered or uploaded by clients into the LegalCodeHelp platform remains the exclusive property of the client. LegalCodeHelp receives a limited right to use this data, solely for the purpose of providing the agreed services. LegalCodeHelp grants the client a non-exclusive, non-transferable license to use the software and platform for the duration of the contractual relationship in accordance with the contractually agreed usage scope and rights.

7. Intellectual Property

The software, platform, design, algorithms, reports, documentation, and other materials provided by LegalCodeHelp are protected by copyright and other intellectual property rights. The use of these materials is permitted exclusively for the contractually agreed purposes. It is not permitted to copy, modify, decompile, reverse engineer, or distribute the software, unless expressly permitted by law. Clients may use the reports and documents generated by LegalCodeHelp for their own business purposes, but may not reproduce the underlying code or algorithms.

8. Data Protection and Security

LegalCodeHelp is committed to the highest standards of data protection and security. We implement appropriate technical and organizational measures to protect your data. Detailed information about our data protection practices can be found in our Privacy Policy. The processing of personal data is carried out exclusively in accordance with applicable data protection laws, in particular the Swiss Federal Data Protection Act and the EU General Data Protection Regulation (GDPR).

9. Availability and Maintenance

LegalCodeHelp strives for high service availability but does not guarantee 100% accessibility. Announcements for regular maintenance work will be provided in advance, and such work will be carried out at times of low usage when possible. In case of unforeseen technical problems, we will inform our clients promptly and work with highest priority on resolving them. Detailed Service Level Agreements (SLAs) are available depending on the contract package and regulate the exact availability guarantees and response times.

10. Limitation of Liability

LegalCodeHelp is liable for damages caused by intentional or grossly negligent conduct. Liability for slight negligence is excluded unless it involves the breach of an essential contractual obligation. LegalCodeHelp's liability is limited to foreseeable, typically occurring damage and does not in any case exceed the fees paid by the client in the last 12 months. LegalCodeHelp is not liable for indirect damages, consequential damages, lost profit, or data loss.

11. Contract Duration and Termination

The contract duration depends on the selected plan and the agreed term. Contracts with monthly terms can be terminated with a notice period of 14 days to the end of the billing month. Contracts with annual terms are automatically renewed for another year if not terminated with a notice period of 30 days before expiration. The termination must be submitted in writing via email to [email protected] or through the client account. In case of serious contract violations, both parties reserve the right to extraordinary termination.

12. Jurisdiction and Applicable Law

Swiss law applies. The jurisdiction for all disputes is the headquarters of LegalCodeHelp in Zurich, Switzerland.
